Welcome to the fdmt.ca website (the “Site”) owned and operated by fdmt (“fdmt” or “we”). We invite you to read these general terms of use for the fdmt Site (“Terms of Use”) carefully before accessing and using this Site. These Terms of Use constitute a legal agreement governing your use of the Site, as well as all services and tools available or linked thereto, offers, promotions, content, sales, terms, the store, and any order or purchase made via the Site. Continuing to use or access the Site after the posting of changes constitutes acceptance of those changes. You can access the Site from a computer or any mobile device, and these Terms of Use govern your use of the Site regardless of the means of access.

The Terms of Use apply to all users of the Site, including, but not limited to, users who are browsers, sellers, customers, merchants, and/or those who contribute content, information, and other documents or services on the Site. If these Terms of Use are considered an offer, acceptance is expressly limited to the content of these Terms of Use.

If you do not accept these Terms of Use, you are not authorized to access, view, download, or otherwise use the Site or any services or tools related thereto.

Our online store is hosted by Shopify Inc., which provides us with the online e-commerce platform and enables us to sell our products and services to you.

Eligibility Conditions

You acknowledge and agree that the Site, as well as the products and services offered by fdmt, are intended solely for personal, legal, non-commercial purposes and for use by individuals who are of legal age in their province of residence (if you are between 14 and 18 years old, you must obtain prior parental consent), who are not prohibited from using websites and who are capable of entering into a legally binding agreement under applicable legislation.

You agree not to use our products for illegal or unauthorized purposes, and you may not, in your use of our products or the Site, violate the laws of your jurisdiction (including, but not limited to, copyright laws). You also agree not to transmit any worms or viruses or any destructive code.

A violation or failure to comply with any of the conditions set forth in these Terms of Use will result in the immediate termination of your right to use or access the Site or any related service.

Your Account

You agree not to create or hold more than one (1) customer account at any time on the Site and to provide true, accurate, current, and complete information at all times when you create or register an account, or when you place an order or make a purchase.

The confidentiality of your password is your sole responsibility. Your account is intended for personal use only. You may not allow others to use it or transfer it to anyone. You are fully responsible for any use of your account and any activity conducted from it, and you acknowledge and agree that fdmt expressly disclaims any liability in this regard.

We reserve the right to deactivate your account or password, suspend or terminate your right to use your account, access the Site, or any related service or tool at any time, without notice, at our sole discretion, for any reason whatsoever, including, but not limited to, if we believe you have violated any of your obligations under the Terms of Use.

Sales Terms

All sales of products made from the Site are subject to these Terms of Use, as well as our Return and Delivery Policy, and any other specific sales terms related to the purchase (collectively, the “Sales Terms”), which may be modified without notice at fdmt's discretion.

When you order and/or accept delivery of products purchased via our online store, you are deemed to have read and accepted our Sales Terms, including our Return and Delivery Policy. In this regard, please consult our Return and Exchange page.

Pricing

The size and weight of all items are approximate. All prices and related fees are in Canadian dollars. All prices listed on the Site are subject to confirmation and may change without notice, at our discretion. You agree to pay all fees associated with your order.

fdmt reserves the right to correct any errors in the prices listed on the Site. fdmt may, at its discretion, modify, refuse, or cancel any order, purchase, or promotion due to a system error, pricing error, fraud, or any cause beyond its control. Prices listed on the Site may differ from prices displayed in-store or across various distribution networks for our products. fdmt is not responsible to you or any third party for any modification or change in price of a product.

Purchase

To place an order or purchase products displayed on the Site, you will need to enter certain information, including the details from the credit card used for payment and the related billing information. By providing this information, you guarantee that it is both accurate and up to date. Placing an order or making a purchase confirms that you agree to pay all fees incurred by you or the user of your credit card regarding the order placed.

We reserve the right to refuse any order you have placed. We also reserve the right to cancel or limit (per person, per household, or per order) the quantity of products you may order or purchase at our sole discretion. These restrictions may include orders placed with the same customer account, the same credit card, and/or the same billing and/or shipping address. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by merchants, resellers, or distributors.

Product

The availability of products offered on the Site, as well as their descriptions, may vary based on location and time, and fdmt makes no guarantees in this regard.

Some products may not be available on our Site and/or may be available exclusively online. We reserve the right to limit quantities of all products we offer. All product descriptions or prices may change at any time and without notice, at our sole discretion. We reserve the right to discontinue or halt the sale of any product at any time. Any product offer made on this Site is void where prohibited.

We do not guarantee that the quality of the products, services, information, or other materials purchased or obtained by you through the Site will meet your expectations.

Products sold may differ from the images representing them on our site. These images are for illustrative purposes only.

Oversized Item: An additional fee will be added to your order total based on weight.

Special Order Item: Delivery time for this item may take 8 to 12 weeks. Any cancellation or return will incur a 15% restocking fee.

Offers and Promotions

This Site may occasionally contain special offers or promotions. Promotions cannot be combined with any other offer, promotion, or coupon and are only valid for internet orders made via the Site. Additionally, there is a limit of one (1) promotion per order. Promotions and discounts on certain selected products are valid until stocks are exhausted or until the promotion end date. Promotions are valid in Canada only.

Certain conditions apply: Cannot be combined with any other offer or promo code. One valid code per order. Not applicable to kits as well as all products of the Placote brand. Not applicable on special order items or direct shipping and gift cards. Does not apply to special agreements. Valid until stocks are exhausted.

Delivery

fdmt will make commercially reasonable efforts to deliver the ordered products as quickly as possible and within the stated timeframes, but these timelines are approximate only. All products are delivered by a third party, and delivery is governed by their shipping agreements and is beyond our control. fdmt is not responsible for losses, costs, damages, charges, or expenses arising from delivery delays.

Free standard delivery for all orders of $99 and over for Quebec and Ontario (except remote areas). No promotional code necessary. The offer will be automatically applied at checkout once the cart total reaches $99. fdmt reserves the right to modify or cancel the offer at any time and without notice.

Return or Exchange

Items purchased from fdmt online that were received between November 1 and December 31 may be returned until January 31 of the following year. These items remain subject to other terms of the return policy.

Contests

This Site may occasionally contain contests in which you can participate via the Site or a social media platform administered by fdmt. Each contest is governed by its own rules, which you must read and accept before participating, as well as applicable laws.

Gift Cards

Gift cards can be used at any time to pay for purchases on the online store. They are non-refundable. As gift cards are transferable, they require the same caution as cash. Gift cards have no cash value, except where required by law. Gift cards carry no fees and do not expire. Damaged or altered gift cards will not be accepted. In case of loss, theft, or unauthorized use, we will not replace the gift card and assume no liability in this regard. If your total purchases are less than the value of your gift card, you can apply the remaining amount to future purchases. If your total purchases exceed the value of your gift card, you will need to pay the difference. In the event of a return of an item purchased with a gift card, a new gift card will be issued for the refund amount. All sales of fdmt gift cards are final and cannot be refunded or exchanged. Using a gift card constitutes acceptance of these terms.

Privacy Protection and Confidentiality

When you use our Site, you are deemed to have read and accepted our policies, including our Privacy Policy regarding the protection of personal information. By using our Site, creating an account, or placing an order, you consent to the collection, use, and disclosure of your personal information in accordance with this Policy. fdmt strives to regularly update the Site and make every effort to ensure the accuracy and reliability of the information contained on it. However, despite these efforts, fdmt cannot guarantee that the Site will be free from errors, inaccuracies, or omissions (including but not limited to product descriptions, prices, promotions, offers, shipping fees, timelines, and availability) and therefore disclaims any responsibility in this regard. You understand and accept that fdmt will not be liable if the information provided on this Site is not accurate, complete, or current.

fdmt may, but is not obligated to, monitor, edit, or delete any content that we deem, in our sole discretion, to be illegal, offensive, threatening, defamatory, obscene, or otherwise objectionable or that violates the intellectual property rights of a third party or these Terms of Use. Subject to our Privacy Policy, all User-Provided Content will be treated as non-confidential and non-exclusive. Regarding User-Provided Content, fdmt is not obligated to provide any compensation or respond to it.

We reserve the right, at our sole discretion, to use or not use any User-Provided Content, without any obligation on our part. You agree that we may, at any time, without restriction, at our sole discretion, edit, copy, publish, distribute, translate, and use in any way, on any medium, any User-Provided Content.

No Resale

Products sold on our Site are intended for the personal and non-commercial use of consumers and are meant to be sold only through our distribution network. Consequently, any sale, purchase, gift, or distribution of our products for resale purposes is prohibited, including, but not limited to, on any websites or social media networks. In addition to any rights we may have to assert for a violation of our trademark, product integrity, or any other intellectual property rights, any violation of this paragraph may result in civil liability and, where applicable, criminal liability for the offender(s).

Intellectual Property and Copyright

fdmt allows you to view and print pages from the Site for personal and domestic use only, but never for commercial purposes. Any modification or digital retouching of any element of the Intellectual Property Material, information, or any content of the Site is strictly prohibited without the prior written consent of fdmt.

The Terms of Use and your access or use of the Site do not confer any rights, titles, or interests in the content of the Site or in the Intellectual Property Material, and fdmt retains all related rights. Indemnification

Limitation of Liability

fdmt shall not be liable for any damage to your computer, the data contained therein, or its peripherals, and expressly disclaims any such liability, including any related to delays or failures in data transmission. At all times, you agree that your sole and exclusive remedy is to cease using the Site.

Duration and Termination

These Terms of Use are effective as of the date you access the Site and remain in effect until terminated. You may cease using the Site or suspend your access at any time. fdmt may, at its sole discretion, terminate your access to the Site at any time, without notice or for any reason. You remain responsible for all amounts due to fdmt until the date of termination.

Upon termination, your obligations under these Terms of Use will survive, including those related to indemnification, liability limits, and the respect of intellectual property rights.

At the end of this agreement, for any reason, fdmt will: (a) cease providing you access to the Site and you agree to stop using it; (b) continue to have the right to retain, use, and disclose your personal information, in accordance with these Terms, the Privacy Policy, and applicable laws.

Force Majeure

If fdmt's performance of any of its obligations hereunder, or as specified in the order confirmation, is delayed due to a force majeure event or any other reason beyond fdmt's control (including disruption or total or partial strikes, including postal services, transportation, and/or communications), the execution date will be delayed for the duration of the delay. fdmt shall not be liable for failure to perform such obligations in case of force majeure or any other reason beyond its control.

Entirety and Severability of the Agreement and Waiver

These Terms of Use constitute the entire and exclusive agreement between you and fdmt and supersede any other agreement, provision, statement, or warranty, prior or contrary, written or oral, including, without limitation, all prior versions of the Terms of Use. All commitments, statements, warranties, and obligations set forth in these Terms of Use bind and benefit you and fdmt, as well as the respective successors of the parties, their authorized assigns, legal representatives, heirs, and trustees.

The invalidity or unenforceability of any provision of these Terms of Use or its application to any person or circumstance, for any reason, shall not affect the validity of the other provisions of these Terms of Use. Any ambiguity in the interpretation of these Terms of Use shall not be construed against the drafting party.

The failure to enforce any provision of these Terms of Use does not constitute a waiver of the right to enforce that provision in the future or any other provision herein.
